Thank you for your interest in submitting an idea to Raytheon Technologies Corporation (“Raytheon”). Raytheon receives many ideas and has found that many have already been developed independently by Raytheon or previously considered. Therefore, in order to avoid any misunderstanding, Raytheon has adopted certain strict terms and conditions to receive any submissions.
TERMS AND CONDITIONS FOR SUBMISSION
I WILL NOT SUBMIT ANY INFORMATION THAT I WISH TO KEEP CONFIDENTIAL.
I understand and agree that Raytheon does not accept any obligations to keep my information confidential under this submission and that there will be no confidential relationship of any kind between Raytheon and me unless we separately agree to that in writing.
I understand and agree that upon submission, Raytheon has the right to use the information in any way whatsoever, including without limitation the right to make improvements or derivative works, without any compensation or attribution to me. For the avoidance of doubt, and without limitation, Raytheon will have the unrestricted right to retain, use, disclose, license and sell my submitted idea and materials, and all improvements thereof.
I certify that this is my original idea, which has not been copied or taken from anyone else. Alternatively, I am the parent/legal guardian of a minor who is the sole originator/owner of the idea. To the best of my knowledge, my idea and submission does not/will not infringe upon any rights of another person or entity. I certify that I am not violating any confidentiality obligation I have with any third party or violating any government export laws by sharing this information with Raytheon under the conditions set forth herein.
I will not send my submission to any employee of the Raytheon, even if I do not hear back on this submission. I understand and agree that Raytheon is not obligated to review, develop or pursue my idea and that Raytheon takes on no obligation to reveal the degree of consideration they gave an idea or to return any material I submit.
This Agreement represents the entire understanding between the parties and all prior negotiations or agreements by any agent or representative of Raytheon are merged into this Agreement, and no such prior representation, negotiation or agreement shall be binding on Raytheon or have any force or effect. It is fully understood this Agreement may not be modified, changed, or waived except in a written document duly executed by a Senior Officer of Raytheon.
I certify that I am not a current Raytheon employee and if I am a former employee, I certify that I am not disclosing any information subject to any proprietary information or employment agreement that I signed while at RTX.
This Agreement shall be deemed to have been made and shall be governed by the laws of the State of Massachusetts, U.S.A. I understand and agree that Raytheon retains the full right to contest any patents, trademarks or copyrights and that your sole remedy for infringement or other violation of these is what is provided under applicable patent, trademark and copyright laws.
